CORPORATE EFFECTS OF THE EXTENDED VALIDITY OF THE SANITARY EMERGENCY IN COLOMBIA
Through Resolution 666 of April 28, 2022, the Ministry of Health and Social Protection extended the validity of the sanitary emergency in Colombian territory until June 30, 2022. Consequently, the provisions of Decrees 176 of February 23, 2021 and 398 of 2020, which established the transitory rules applicable to the corporate bodies of companies during the sanitary emergency, remain in force until that date.
The foregoing means that until June 30, 2022, (i) it is still possible to hold face-to-face, non-face-to-face or mixed meetings, applying the exceptional quorum rules established in Decree 398 of 2020, this is, that the presence of all the members that compose the corporate body is not necessary to be able to deliberate in this meetings, as established in article 19 of Law 222 of 1995, being only required the presence of the minimum deliberation quorum established for standard face to face meetings, and (ii) the special procedure for meetings in their own right will be applicable, which consists of requesting the competent authority to order the administrator to call the meeting. This request must be submitted within 30 days of the date on which the meeting should have taken place in its own right.
