Circulation of electronic invoices as securities
Decree 1349 of 2016, regulated Law 1231 of 2008 regarding the acceptance, endorsement and other related procedures in connection with electronic invoices
Through Decree 1349 of August 22th 2016, the Ministry of Commerce, Industry and Tourism adds a chapter to the single regulatory Decree 1074 of 2015, referring to the circulation of the electronic invoices in the securities market.
Overall, the electronic invoice as a security may be accepted expressly by the customer or payer of the respective product acquired with such invoice. It could also be understood tacitly accepted if the acquirer does not make a claim to the issuer within three business days after the receipt of the invoice.
The accepted invoice may be sent to an electronic registration platform, which will allow its circulation among its users. This registration will be likewise informed the general securities registry. Such a system will provide the necessary conditions for the circulation, by its endorsement, of electronic invoices.
The new registry would be carried by the Ministry of Commerce, Industry and Tourism or contracted with third parties.
