Odinsa S.A., Grupo Argos S.A.’s concessions company, advances in the creation of an investment platform for airport assets in Colombia and the region, as part of its strategy to continue to expand, strengthen and consolidate its presence and participation in airports infrastructure projects.
On September 28, 2022, Odinsa and Grupo Argos accepted the offer presented by Macquarie Infrastructure and Real Assets (“MIRA”) and its affiliate, Macquarie Infrastructure Partners V (“MIP V”), a private fund specialized in infrastructure investments, managed by Macquarie Asset Management, for the sale of 50% of Odinsa and Grupo Argos’s shareholdings and investments in airports concessions in Colombia and Ecuador, and interests in certain pipeline projects, and further contribution of the assets to the airports investment platform. As a result, Odinsa and MIP V will become investors of the investment platform and such platform will, in turn, hold the combined stake in the relevant Colombian and Ecuadorian concessions. The closing of the sale and purchase agreement is subject to the completion of conditions precedent, including obtaining required governmental authorizations and other required consents, as customary in these types of transactions.
The investment platform will manage Odinsa’s and Grupo Argos’ Colombian current airport assets, including Sociedad Concesionaria Operadora Aeroportuaria Internacional S.A. – Opain S.A. and Odinsa’s investment in Corporación Quiport S.A., with a consolidated valuation close to COP 1.3 trillion. Likewise, the platform will manage the initiatives that Odinsa has been leading to date in the airports sector in Colombia, including (i) the New Cartagena Airport, which seeks to develop the necessary infrastructure to support passenger demand for the next 50 years; (ii) El Dorado Max, an efficient solution to maximize the use of the current El Dorado airport terminal; and (iii) El Dorado Campo de Vuelo, which proposes improvements to the airport’s runways and taxiways, with state-of-the-art technology and the expansion of its capacity, and new projects to be included to the Platform.
This transaction is important not only for Odinsa and Grupo Argos, but for Colombia, as it is evidence of support from a key international player such as Macquarie Asset Management, globally recognized asset manager with more than USD 450 billion in assets under administration, of which $107 billion is dedicated exclusively to capital investments in infrastructure worldwide.
