Posse Herrera Ruiz acted as Colombian legal counsel to Auna S.A., Grupo Salud Auna México S.A. de C.V., and their Colombian subsidiaries in the refinancing of certain existing Notes Purchase Agreement and the exchange of Auna S.A.’s outstanding 6.5000% Senior Notes due 2025.

The financing was obtained through a credit agreement for total commitment structured in two tranches. The proceeds of the credit agreement were applied to fully prepay certain Notes Purchase Agreement represented in senior secured notes due 2028.

Furthermore, approximately 81.13% of the total principal amount outstanding of Auna S.A.’s existing 6.5000% Senior Notes due 2025 were exchanged for newly issued 10.000% Senior Secured Notes due 2029. The settlement of the exchange offer and the disbursement under the credit agreement occurred on December 18, 2023.
